An accountant is an accounting person who, as the name suggests, basically works to revise accounts. Some companies are subject to a so-called audit obligation. This means that companies are legally obliged to associate an accountant. If your company is subject to auditing, you must at least use an auditor to review the annual report. However, this does not mean that it is only relevant to you to associate an accountant if you are subject to auditing. Many companies and individuals choose to use an accountant, although they are not legally bound by it. It is therefore not abnormal that the auditor, for example, is responsible for preparing the tax return, annual accounts and VAT report.

First and foremost, it is important that you clarify your needs to find out if you need an accountant and to what extent. Should the accountant carry out all accounting tasks, or do you wish to stand for some of the work? To answer this question, consider three things. In order to ensure that the annual accounts, especially from larger companies, are accurate, it is decided by law that these accounts must have been audited. More specifically, the Financial Statements Act , which dictates that entrepreneurs , limited companies and limited companies of a certain size must revise their annual report. Thus, sole proprietors and partnerships can never be subject to auditing.

Auditing means that an authorized auditor reviews and controls the company’s annual report, accounting and other financial matters in accordance with statutory standards and rules. The auditor concludes the work of enclosing an audit report to the financial statements describing the accounting and financial conditions of the company in question. Here it will also be very clear whether the financial statements are in accordance with the Danish Financial Statements Act and whether they are correct or not.

As mentioned, only limited-sized enterprises, partnerships and limited companies are subject to auditing. In other words, this means that smaller companies have the option of opting out of auditing.

According to the Danish Financial Statements Act, all companies that exceed two out of three following amounts for two financial years in succession are subject to auditing.

  • Balance total of NOK 4 million
  • Net sales of NOK 8 million
  • 12 full-time employees on average

If the company does not exceed two out of three above sizes, it has the option of opting out of auditing, which may result in a significantly smaller bill to the auditor.

If you wish to opt-out of audits, the resolution must be taken at an ordinary general meeting , whereafter it is written in the company’s Articles of Association. In addition, it must also be disclosed in the statement of management, for the year the audit is made.
